"EUROPA INTERNET LIONS CLUB"

I Soci Lion, che firmano in calce, certificano che è stato costituito un "Internet Lions Club" in conformità con la Costituzione, gli Statuti, gli Obettivi e i Regolamenti della Associazione Internazionale dei Lions Clubs.
Lo Statuto sottoscritto intende conformarsi esplicitamente alle norme dello Statuto Tipo Internazionale per Clubs dell’Associazione e a questo rimanda per quanto non diversamente stabilito.

ARTICOLO I
Denominazione, Territorio, Slogan

A – Denominazione. Questa organizzazione sarà conosciuta come "Europa Internet Lions Club", o "E.I.L.C.", o il "CLUB", associato e sotto la giurisdizione dell’Associazione Internazionale dei Lions Clubs.
B – Territorio. Il territorio in cui opererà questa organizzazione è quello dell’Europa, intesa come area amministrativa lionistica, attraverso la Rete Internet. Questa organizzazione si doterà di un Sito Internet con dominio proprio, intestato al Presidente pro-tempore o ad un socio designato, in cui verrà stabilita la sede del "CLUB". All’interno del Sito Internet potranno essere attivati tutti i supporti tecnologici per la comunicazione e allo scambio di idee, come "Forum di discussione", "chat" e qualsiasi altro strumento il Consiglio Direttivo del "CLUB" decida insieme al Comitato Internet. L’utilizzo dei supporti informatici di comunicazione è sottoposto alle linee guida stabilite dal "CLUB" e dall’Associazione, oltre alle norme per l’utilizzo del marchio "Lions".
C – Lo Slogan sarà: L.I.O.N.S. Libertà, Intelligenza, Servizio Nella Rete.

ARTICOLO Il
Scopi e finalità

Obiettivo del "CLUB" è di rafforzare e condividere la "Mission" dell’Associazione attivando legami di spontanea, globale collaborazione, al fine di consolidare il rapporto fra Lions e le Comunità, esaltando gli scopi e finalità dell’Associazione, peculiarmente attraverso la Rete Internet.
Il "CLUB" si propone inoltre di fornire ogni collaborazione alle istituzioni lionistiche per sviluppare l’uso di Internet tra i membri dell’Associazione e di essere strumento di aggregazione per i Lions europei in Internet organizzandone le comunicazioni, promuovendone le attività e svolgendo autonome funzioni di Servizio.

ARTICOLO III
Soci

A – Ogni Lions/Lioness, in regola con l’associazione in un Lions o Lioness Club, può diventare socio del "CLUB". Lo Stato Associativo per il "CLUB" è sottoposto alla certificazione di appartenenza a un Lion o Lioness Club regolarmente costituito da parte del Segretario del Club di origine.
B - I membri del "CLUB" mantengono diritti, obblighi e qualifiche acquisiti nell’ambito del Lions Club di appartenenza, accettando il "CLUB" le classificazioni stabilite e regolate dallo Statuto Tipo dell’Associazione.
C – Socio Onorario – Nell’ambito del "CLUB" è costituita la categoria di Socio Onorario. Il Socio Onorario è un Lion non associato a questo "CLUB" a cui si desideri conferire una speciale distinzione per servizi particolari resi alla comunità all’Associazione o al "CLUB". Il "CLUB" non potrà pretendere alcuna forma di versamento o partecipazione alle spese sia pure di tipo amministrativo e/o organizzativo, mentre il Socio Onorario potrà partecipare alle riunioni, ma non avrà diritto ai privilegi dei soci effettivi.
Soci Onorari del "CLUB" saranno d’ufficio: i Presidenti o i Soci dei Clubs Internet Lions del Mondo e i Presidenti dei Fora Europei quando non desiderino essere associati come effettivi.
D – Su presentazione di un Socio del "CLUB" potranno essere invitati a partecipare alle attività del "CLUB" anche non Lions o ex-Lions che desiderino svolgere, o già svolgono, attività lionistiche nella Rete Internet. Questi, non avendo alcuno dei diritti dei Soci Effettivi, assumeranno il titolo di "Visitatori". Qualora un "Visitatore" venga associato ad un Club Lion o Lioness o rientri nell’Associazione, potrà chiedere di essere associato a pieno titolo al "CLUB". La richiesta verrà posta alla votazione del Consiglio Direttivo.
E – La qualifica di Socio potrà essere acquisita solo dietro invito, rivolto a Soci di un Lions/Lioness Club.
Un Nuovo Socio può essere invitato da ogni Membro Attivo, associato al "CLUB" da almeno 6 Mesi. Lo stato di Socio Attivo sopravviene dopo l’accettazione dello Statuto, la compilazione del Modulo di Registrazione Online e la partecipazione ad almeno 2 incontri tra quelli programmati ogni mese. Il Presentatore provvede all’istruzione del Nuovo Socio nell’uso degli strumenti di Comunicazione e nelle regole di partecipazione al "CLUB", aiutandolo ad integrarsi con gli altri Membri nello Spirito di Amicizia e Comprensione Internazionale.

ARTICOLO IV
Quote e contributi

A – L’Assemblea dei Soci del "CLUB", con maggioranza dei voti, potrà stabilire una quota annuale di iscrizione. La quota coprirà le spese amministrative, di segreteria e di gestione del "CLUB", compresi gli oneri relativi alla collocazione in Internet. Ogni eccedenza verrà utilizzata dal "CLUB", secondo le indicazioni del Consiglio Direttivo e dell’Assemblea dei Soci, per attività di Servizio secondo gli Scopi dell’Associazione.

ARTICOLO V
Dimissioni e perdita della qualifica di Socio

A – Qualunque Socio potrà dimettersi dal "CLUB" presentandone richiesta scritta. Le dimissioni diverranno effettive dietro accettazione da parte del Consiglio Direttivo.
B – Il Socio dimesso dal Lions/Lioness Club di appartenenza, cessa ex officio di far parte del "CLUB".
C – Ogni socio può essere espulso dal "CLUB" su voto dei 2/3 dell'intero Consiglio Direttivo per qualsiasi condotta in conflitto con le linee guida stabilite dal "CLUB" e/o dell’Associazione.

ARTICOLO VI
Officers

A – Officers del "CLUB" saranno: il Presidente, l’Immediato Past Presidente, il o i Vice Presidenti, il Segretario, il Tesoriere, il Censore, il Cerimoniere, i Consiglieri compresi un web-master e un chat-master.
B – Nessun Officer del "CLUB" riceverà compensi per qualsiasi servizio reso al "CLUB" nello svolgimento delle sue mansioni: al Segretario, su richiesta, verrà riconosciuto il rimborso delle spese sostenute.
C – Compiti.
Presidente. Sarà il capo esecutivo del "CLUB"; convocherà e presiederà tutte le riunioni del Consiglio Direttivo e del "CLUB". Aprirà un sito Web dedicato al "CLUB", con intestazione temporanea al proprio nominativo. Convocherà inoltre le riunioni ordinarie e straordinarie del Consiglio Direttivo e del "CLUB" e curerà che le regolari elezioni siano convocate, notificate e tenute.
Vice Presidente/i. Affianca e collabora con il Presidente. Se il Presidente del "CLUB", per una qualsiasi ragione, non fosse più in grado di adempiere alle sue mansioni il Vice Presidente di grado a lui più prossimo occuperà il suo posto ed opererà con la stessa autorità dei Presidente.
Segretario. Opererà sotto la direzione e controllo del Presidente e del Consiglio Direttivo, agendo quale funzionario di collegamento fra il "CLUB" ed ogni altro livello delle Strutture Lions. Dovrà tenere accurata e permanente registrazione delle entrate e delle uscite del "CLUB", verbale di tutte le riunioni, indirizzario aggiornato dei Soci rimettendo a questi ultimi periodicamente l’estratto conto degli obblighi finanziari.
Tesoriere. Gestisce l’economia del "CLUB", effettuando i pagamenti su autorizzazione del Consiglio Direttivo o come previsto dal bilancio annuale, raccogliendo le quote dai Soci od ogni altra forma di contribuzione e versando le somme nella Banca indicata dal Consiglio Direttivo, preparando rapporti finanziari periodici da sottoporre al Consiglio Direttivo e alla Sede Centrale dell’Associazione, se richiesto.
Censore. Creerà armonia, allegria ed entusiasmo alle riunioni ed avrà l’autorità di imporre sanzioni, segnalate al Consiglio Direttivo, ai Soci che non mantengano un comportamento corretto e quando manchino di rispettare le linee guida del "CLUB" e dell’Associazione. Fa parte di diritto del Comitato Internet.
Cerimoniere. E’ responsabile delle proprietà e degli oggetti del "CLUB". E’ responsabile dell’organizzazione e del buon andamento dei meetings. Per la particolarità del "CLUB" potrà avere anche l’incarico di chat-master, delegandolo quando opportuno ad altri membri che offrano volontariamente collaborazione per mantenere attivi i sistemi di comunicazione prescelti dal "CLUB" per i meetings e/o abbiano proposto temi per i meetings in Internet. Fa parte di diritto del Comitato Congressi.
Chat-Master. Sarà responsabile del regolare svolgimento dei meetings del "CLUB" in Internet, pubblicando in anticipo l’argomento delle sessioni. Manterrà registrazione delle sessioni da trasmettere al Segretario per l’archiviazione e l’invio ai Soci. Garantirà la presenza in Rete per ogni richiesta da parte dei Soci. Potrà, sotto la sua responsabilità e quando assente, delegare la funzione per garantire continuità al Servizio.
Web-Master. Sarà responsabile della pubblicazione di ogni informazione nel Sito Internet del "CLUB". Potrà proporre modifiche all’aspetto grafico o all’indice dei contenuti. Potrà affiancare collaboratori, sotto la sua responsabilità e fino alla costituzione di una Redazione, per garantire il costante aggiornamento del Sito.
D – L’attività del Chat-Master e del Web-Master, o dei loro delegati/collaboratori, sono sottoposti alla verifica e valutazione del Consiglio Direttivo e del Comitato Internet.

ARTICOLO VII
Consiglio Direttivo

A – I membri del Consiglio Direttivo saranno: il Presidente, l'immediato Past Presidente, il Primo Vice Presidente, il Segretario, il Tesoriere il Cerimoniere, il Censore e tutti i Consiglieri eletti
B – La nomina dei membri del Consiglio Direttivo dovrà per quanto possibile tener conto delle nazionalità rappresentate nel "CLUB".
C – Regolari riunioni del Consiglio Direttivo dovranno essere tenute in date stabilite dal Consiglio stesso.
D – La presenza fisica o virtuale della maggioranza dei suoi membri costituirà il quorum ad ogni riunione del Consiglio Direttivo. Salvo i casi in cui diversamente stabilito, le deliberazioni della maggioranza dei Consiglieri presenti ad ogni riunione equivarranno a decisioni prese dall’intero Consiglio Direttivo.
E – Compiti e poteri: oltre a quei compiti e poteri, espliciti ed impliciti, altrove menzionati in questo Statuto, il Consiglio Direttivo avrà i seguenti compiti e poteri:
sarà l'organo esecutivo del "CLUB" e sarà responsabile dell'esecuzione, mediante i propri Officers, delle Direttive approvate dal "CLUB". Coordinerà insieme al Comitato Internet tutte le nuove iniziative nella Rete Internet del "CLUB" sottoponendole in seguito all’approvazione della Assemblea dei Soci;
autorizzerà ogni spesa e non creerà alcuna passività eccedente le entrate del "CLUB" né autorizzerà l'erogazione di fondi dei "CLUB" per scopi non essenziali alle finalità e direttive stabilite dai soci;
avrà potere di modificare, annullare o revocare le decisioni di qualsiasi funzionario del "CLUB";
curerà che i registri, i conti e le operazioni del "CLUB" siano controllati periodicamente e potrà richiedere un rendiconto od un controllo dell'amministrazione dei fondi del "CLUB";
designerà, una banca o banche per il deposito di fondi del "CLUB";
non autorizzerà né permetterà l'erogazione di fondi raccolti e destinati ad iniziative ed attività del "CLUB" per altri scopi amministrativi.

Articolo VIII
Comitati

Il Presidente del "CLUB" presiede ex officio tutti i Comitati, oltre al numero dei componenti previsti. Le nomine dei componenti dei Comitati, salvo diversa disposizione, sono effettuate dal Consiglio Direttivo.
I seguenti Comitati dovranno essere istituiti quanto prima:
A – Comitato Internet. Ad integrazione del Consiglio Direttivo, per le specifiche attività del "CLUB", viene istituito un Comitato Internet, composto da tre membri, incluso il Censore. Il Comitato avrà funzioni propositive e di verifica sul Sito Internet, di vigilanza sulla protezione dei dati personali e di controllo sui contenuti e sul modo di utilizzo dei sistemi di comunicazione adottati dal "CLUB" quando non conformi alle linee guida dell’Associazione o del "CLUB". Il Comitato avrà il compito di elaborare norme deontologiche e d’uso sui segnalati sistemi svolgendo una funzione di acculturazione sull’utilizzo di Internet come nuovo strumento di comunicazione.
Il Consiglio Direttivo allargherà il plenum di votazione ai Membri del Comitato quando debbano essere discusse e valutate raccomandazioni e prescrizioni nell’ambito delle funzioni sopra indicate.
Dei due membri componenti il Comitato, oltre il Censore, per lo specifico carattere europeo del "CLUB", uno potrà essere scelto, tra i Soci del "CLUB", dal Presidente del Forum Europeo.
B – Comitato Elettorale. Sarà formato da 1 Presidente e da 2 membri. Dovrà curare il regolare svolgimento delle elezioni secondo le norme previste in questo Statuto e tenere registro delle operazioni di voto.
C – Comitato Soci. Sarà formato da tre membri nominati tra i Past Presidenti del "CLUB" e presieduto dall’immediato Past Presidente. Presenterà progetti o idee per la promozione delle attività del "CLUB" e per l’ammissione di nuovi Soci.
D – Comitato Congressi. Sarà formato da tre membri tra i quali il Cerimoniere del "CLUB". Sarà responsabile dell’organizzazione delle attività durante i Convegni e i Congressi, nazionali e internazionali.

ARTICOLO IX
Elezioni

Gli Officers del "CLUB", escluso l'immediato Past Presidente, verranno eletti come segue:
A – Ogni anno in marzo si dovrà tenere la riunione per le nomine alla data stabilita dal Consiglio Direttivo, che sarà comunicata per posta elettronica ad ogni socio del "CLUB" con almeno 10 giorni di anticipo.
B – Il Consiglio Direttivo nominerà un Comitato Elettorale, che dovrà sottoporre, in tale riunione, il nome dei candidati alle cariche del "CLUB". Richiesta di designazione potrà anche essere espressa da ciascun socio.
C – Se, nell'intervallo tra la riunione per le nomine e le elezioni, qualche candidato non fosse in grado di ricoprire la carica per cui è stato nominato e se, per tale carica, non vi fosse nessun altro candidato, il Comitato Elettorale sottoporrà, al momento delle elezioni, ulteriori nominativi per la carica vacante.
D – Non oltre il 15 aprile si dovrà tenere una riunione elettorale fisica o virtuale nel giorno stabilito dal Consiglio Direttivo e, con due settimane di anticipo, l'avviso di tale riunione dovrà essere spedito via e-mail ad ogni socio del "CLUB" dal Segretario. Tale comunicazione dovrà contenere i nomi di tutti i candidati approvati nella precedente riunione e una dichiarazione che questi candidati saranno votati a questa riunione elettorale. Nessuna designazione potrà essere fatta dall'aula alla riunione elettorale.
E – Salvo le disposizioni della sezione F, tutti gli Officers saranno eletti annualmente, ed assumeranno la carica dal 1^o luglio, conservandola per un anno, o finché i loro successori saranno eletti e qualificati.
F – Ogni anno sarà eletta la metà dei Consiglieri che entreranno in carica il 1^o luglio successivo alla loro elezione, restandovi per due anni da tale data o fino a che i loro successori saranno stati eletti eccetto che alla prima elezione, in cui la metà dei Consiglieri sarà eletta per due anni e l'altra metà per un anno.
G – L'elezione sarà fatta per scrutinio dai Soci con diritto di voto, fisicamente, via Internet o per e-mail. Per essere eletti è necessaria la maggioranza dei voti.
L – Revoca. Qualsiasi Officer del "CLUB" può essere destituito dalla carica per giusta causa e per ciò sarà necessario che 1/3 dei soci richieda al Consiglio Direttivo di indire una votazione in merito alla destituzione; la stessa potrà essere adottata solo con i 2/3 dei voti di tutti i soci aventi diritto.

ARTICOLO X
Riunioni

A – Le riunioni virtuali del "CLUB" dovranno essere tenute non meno di due volte al mese, alla data, orario e sistema di comunicazione stabiliti dal Consiglio Direttivo ed approvati dal "CLUB". Tutte le riunioni dovranno iniziare e finire entro i limiti di tempo stabiliti.
B – Ogni anno sarà tenuta una riunione fisica o virtuale per festeggiare l'anniversario della Charter Night del "CLUB". In tale occasione, dovrà essere dedicata particolare attenzione alle .finalità ed agli scopi del Lionismo, nonché all’iter storico, all’attività svolta ed ai traguardi di Servizio raggiunti da questo "CLUB".
C – Nel mese di giugno di ogni anno verrà tenuta l’Assemblea Generale dei Soci. In tale riunione il Direttivo uscente dovrà presentare il rendiconto finale, insediando subito dopo i nuovi consiglieri eletti. Questa riunione potrà coincidere con le date della Convention Internazionale ed essere fisica o virtuale.
D – Ogni anno verrà indetta una riunione fisica del "CLUB" in occasione dei Fora Europei. Per quanto auspicabile che i Soci partecipino fisicamente a tale riunione, sarà previsto anche un collegamento Internet per i Soci impossibilitati a partecipare.

ARTICOLO XI
Emblema, Colori, Anno Sociale

A – L'emblema ed i colori del "CLUB" saranno uguali a quelli dell’Associazione.
B – L'anno sociale del "CLUB" inizierà il 1 luglio e terminerà il 30 giugno dell’anno successivo.

ARTICOLO XII
Congressi

A – Il "CLUB" parteciperà ad ogni Congresso Internazionale o Nazionale o Distrettuale dell’Associazione provvedendo quando possibile ad organizzare uno spazio promozionale in accordo con le Organizzazioni.
B – I Soci del "CLUB" non avranno rappresentanza elettorale poiché già membri di un Lions Club.

ARTICOLO XIII
Elenco Postale Onorario

Il "CLUB" terrà una lista postale elettronica dei membri e di ogni altro Lion interessato. Nella lista sarà predisposto un elenco onorario in cui figurino: l’Associazione Internazionale dei Lions Clubs, i Presidenti dei Fora Europei, i Governatori dei Distretti di appartenenza, i Presidenti dei Clubs virtuali del Mondo.

ARTICOLO XIV
Votazioni e Prassi Parlamentare

A – Per la specificità del "CLUB", attivo per mezzo di Internet, ogni tipo di votazione potrà essere eseguita in forma fisica, nel corso delle riunioni virtuali o via e-mail.
Il quorum elettorale verrà stabilito dal Comitato Elettorale, una volta verificato il numero dei votanti secondo il mezzo di comunicazione preferito e con i tempi e modi stabiliti in questo Statuto per ogni tipo di votazione.
Le votazioni per e-mail dovranno essere inviate esclusivamente al Presidente del Comitato elettorale e con i modi che il Comitato Elettorale indicherà, salvo diverse disposizioni.
B – Salvo quanto altrimenti specificato in questo Statuto, tutte le questioni di Ordine o Procedura riguardanti le riunioni o le azioni del "CLUB", il suo Consiglio Direttivo o qualsiasi Comitato ad esso nominato, dovranno essere determinate in conformità al Robert’s Rules of Order riveduto, ed eventuali successivi emendamenti.

ARTICOLO XV
Emendamenti

A – Il presente Statuto può essere emendato ad ogni riunione ordinaria o straordinaria del "CLUB", alla quale sia presente il quorum e con il voto favorevole dei due terzi dei soci presenti e votanti, purché il Consiglio abbia preventivamente esaminato la validità degli emendamenti. Nessun emendamento sarà posto al voto, a meno che la notifica, precisante l'emendamento proposto, sia stata spedita via e-mail ad ogni socio del "CLUB" almeno due settimane prima della riunione in cui l'emendamento proposto dovrà essere votato.
B – Giurisdizione dell’Associazione Internazionale dei Lions Clubs. Questo Statuto può essere emendato in ogni momento per azione del Board Internazionale dell’Associazione. Ogni articolo o norma di questo Statuto che sia o venga riconosciuta in contrasto con gli Statuti dell’Associazione o con qualsiasi indirizzo del Board Internazionale verrà considerata nulla. Tutti gli Officers, i Consiglieri, i Soci, le attività, dell’Europa Internet Lions Club saranno sottoposti alla esclusiva giurisdizione del Board Internazionale.

ARTICOLO XVI
Scioglimento del Club

CONSTITUTION of the LIONS-ON-LINE LIONS CLUB
LIONS CLUBS INTERNATIONAL
A Computer On-line Activity of the Victorville Lions Club

The Lion members, who have signed below, certify that a computer internet club has been constituted as a division of the Victorville Lions Club of District 4-L5, in conformity with the Constitution and Bylaws, Objectives and Regulations of the International Association of Lions Clubs as set forth below.

Article I. Name and Object.

Section 1 Name. This organization shall be known as the Lions-On-Line Lions Club, also known as LOL L.C. or the Club.
Section 2 Purpose. The purpose of this organization is to strengthen international Lionism through global goodwill and fellowship among Lions and their communities, and create a resource center for the benefit of its members and their home clubs, especially through the use of the Internet.

Article II Membership.

Section 1- Membership. There shall be two classes of membership in this organization: A. Regular Members who shall attend at least one physical meeting each month and at least two electronic meetings via computer each month, and B. Associate Members who shall attend at least two electronic meetings each month via computer. All Associate Memberships in this organization shall be open to any member in good standing of any Lions Club in good standing; such membership to be authenticated by the secretary of the applicant's club. Any member in good standing of a Lioness or Leo club may become an Associate Member upon application and verification of the sponsoring Lions Club.

Section 2 - Resignation and Removal of Members. a. A member may resign at any time by submitting a written resignation to the secretary of this club. b. Any member ceasing to be a Lion, Lioness or Leo in good standing in their respective club shall automatically be dropped from the membership of this club. c. Any member may be removed by a majority vote of the Board of Directors of this organization for any conduct which is in conflict with the guidelines established by this club and/or The International Association of Lions Clubs.

Section 3 - Membership Dues. a. To offset the administrative expenses of this organization, each member shall be assessed annual dues as shall be established by a majority vote of those members attending the annual meeting. b. Dues for all members and associates are payable on July 1st of each year. c. Unless amended by the Board of Directors, dues for all Associate Members shall be limited to payment of all fees required or necessary to maintain their status needed to access the club’s internet location. d. Fees and/or assessments may be levied to cover expenses incurred by the club on behalf of any member.

Article III Officers and Board of Directors

Section 1 - The parent Victorville Lions Club shall designate one of its members to be the club’s Chairman of the Board of Directors, who will preside over all meetings of that board. The Chairman shall vote only when required to create a majority.

Section 2 - All classes of membership in this club are entitled to hold elective office. The elected officers of this organization shall be: President, no more than four Vice-presidents, Secretary, Treasurer and no fewer than six (6) nor more than thirty (30) Directors, a Chatmaster, and a Tail Twister, as the Board of directors shall determine. The elected officers and directors shall also comprise the Board of Directors.

Section 3 - The elected officers, other than the directors, shall be elected for a term of one year unless they resign or are removed from office according to Section 5 of this article.

Section 4 - One half of the total number of Directors shall be elected each year for a term of two years. During the club's first year of operation, half the total number of Directors shall be elected for a term of one year; the remaining half of the Directors shall be elected for a two year term.

Section 5 - a. In the event of a vacancy arising in any office, the Board of Directors of this organization may fill the same for the remainder of the term by a majority vote; b. Any officer may be removed for cause by a two-thirds (2/3) majority vote of the Board of Directors of this organization.

Section 6 - The term of office for each officer shall commence upon installation at the annual meeting and shall end at the election and installation of his/her successor.

Section 7 - The officers or directors shall not receive any compensation for services in performance of the duties of his/her office, except reimbursement for duly approved administrative expenses.

Section 8 - No elected officer or director may serve more than two (2) consecutive terms in the same office.

Article IV Duties of the Officers

Section 1 - President. The President shall have general supervisory powers over matters concerning this organization, subject to the direction of the Chairman of the Board. He/she shall be an ex-officio member of all committees. He/she shall preside at the annual meeting of the organization; the Chairman of the Board shall preside at any meeting of the Board of Directors as shall be convened.

Section 2 - Vice Presidents. The Vice presidents shall assist the president in the operation of the club. He/she shall perform all duties of the president in the president's absence in the order of seniority of their office, and shall perform such other duties as may be assigned to him/her from time to time by the president.

Section 3 Secretary. The secretary shall keep an accurate account and a permanent record of the meetings of this organization. He/she shall maintain a complete record of the membership of the club.

Section 4 - Treasurer. The treasurer shall have general charge of all moneys of the organization and shall collect all dues. He/she shall make quarterly reports of the financial condition of the organization to the Board of Directors. All funds shall be deposited in financial institutions as shall be designated by the Board of Directors. He/she shall pay all bills and obligations against the club as authorized by the Board of Directors or as budgeted for in the annual budget. He/she shall, if required by the Board of Directors, give bond in such sums as may be stipulated by the board.

Section 5 - Directors. The directors shall have full voting privileges on all matters requiring a vote of the Board of Directors. They may be assigned duties from time to time by the president.

Section 6 - Tail Twister. The Tail Twister shall have authority to impose fines upon any member present at any session, which shall then be payable to the assessed member’s home club at his/her next regular meeting. Fines shall be of a nature as to promote fellowship and good humor throughout this organization and in an amount which shall not create undue hardship nor embarrassment.

Section 7 - Chatmaster. The Chatmaster shall be responsible for maintaining a regular schedule of Chat Sessions of the club, and publishing, in advance of all sessions, a list of topics for each session. He/she shall maintain a continuing record of all session logs, which he/she shall make available on-line, to any member requesting same.

Article V. Annual Meeting and Elections.

Section 1 - Annual meeting. a. The annual meeting shall be held during the Lions Clubs International Convention at which time all necessary business will be transacted and the officers for the following year will be elected.

b. On matters arising between annual meetings requiring action of the Board of Directors, a vote may be conducted by electronic mail, other forms of telecommunications, or regular mail as shall be selected by the Board of Directors.

Section 2 - Election of Officers. The election of officers shall occur during the annual meeting according to the following procedure: a. The nominating committee shall submit the names of candidates for the various offices to be filled by election at the annual meeting. Additional nominations may also be made from the floor. When no additional nominations are forthcoming, the president shall declare nominations closed. b. The election shall be by ballot by those present and qualified to vote. A simple majority vote shall be necessary to elect. In the event there is only one nominee for any office, a voice vote may be taken.

Article VI Committees

The following committees shall be appointed by the president as soon after the election as possible: a. Nominating Committee. The nominating committee shall select a slate of officers and directors to be elected. Its slate shall be submitted to the Secretary no later than sixty (60) days prior to the annual meeting. The Secretary will notify each member of the nominees at the time that the notice of the annual meeting is given. b. Membership and Promotion Committee. This committee shall submit plans or ideas which shall promote the activities and membership of the club. c. Convention Committee. This committee shall be responsible for the arrangement of activities during the annual meeting.

Article VII Fiscal Year

The fiscal year of the organization shall be from July 1 to June 30 annually.

Article VIII Guidelines

Section 1 No member of this organization shall use his/her membership as a means of furthering any personal, political, commercial or other aspiration, nor shall the organization, as a whole, take part in any movement not keeping with its objects.

Section 2. No funds shall be solicited from members of this organization or the community except in strict accordance with Article XII, Section 4 of the Lions Clubs International Constitution and By-Laws.

Section 3 Jurisdiction of The International Association of Lions Clubs. This constitution may be amended by action of the Board of Directors of The International Association of Lions Clubs. Any provision of this constitution that is, or is found by said board to be in conflict with the Lions Clubs International Constitution and By-Laws or any policy of the International Board of Directors shall be null and void and of no force and effect. All officers, directors, members, operations and activities of Lions Clubs International Lions-On-Line Lions Club shall be subject to and under the exclusive jurisdiction of the International Board of Directors.

Section 4 This constitution may be amended by action of the Board of Directors of this club or by a two-thirds (2/3) majority vote of the club members present at any annual meeting, provided said amendment is later ratified by action of the Board of Directors. Said amendment shall not take effect until the Board of Directors has ratified the same.

Article VIII Dissolution

In the event of discontinuance of the activities of this organization, the Board of Directors shall instruct the treasurer of this organization to donate the entire treasury balance, after full payment of all debts, to a recognized charity such as LCIF.

Article I
Name and object

Section 1 - Name.
This organization shall be known as the Lions Clubs Intern@tional Internet Club.
Section 2 - Purpose.
The purpose of this organization is to strengthen international Lionism through global goodwill and fellowship among Lions and their communities especially through Internet.

Article II
Membership

Section 1 - Membership.
Membership in this organization shall be open to any member in good standing of a Lions Club. Such membership to be authenticated by the secretary of the applicant's club.
Section 2 - Associate members.
Any member in good standing of a Lioness or Leo club may become an associate member by verification of the sponsoring Lions Club.
Section 3 - Resignation and Removal of Members.
a. A member may resign at any time by submitting a written resignation to the secretary of this club.
b. Any member ceasing to be a Lion, Lioness or Leo in good standing in their respective club shall automatically be dropped from the membership of this club.
c. Any member may be removed by a two-thirds (2/3) vote of the board of directors of this organization for any conduct which is in conflict with the guidelines established by this club and/or The International Association of Lions Clubs.
Section 4 - Membership Dues.
a. To offset the administrative expenses of this organization, each member shall be assessed annual dues as shall be established by a majority vote of those members attending the annual meeting.
b. Dues for all members and associates are payable on July I of each year.

Article III
Officers and Board of Directors

Section 1
The elected officers of this organization shall be: president, a vice president, secretary, treasurer and six (6) directors. The elected officers and directors shall also comprise the board of directors.
Section 2
The elected officers, other than the directors, shall be elected for a term of one year unless they resign or are removed from office according to Section 6 of this article.
Section 3
Three (3) directors shall be elected each year for a term of two years. During the club's first year of operation, three (3) directors shall be elected for a term of one year; and three (3) directors shall be elected for a two year term.
Section 4
a. In the event of a vacancy arising in any office, the board of directors of this organization may fill the same for the remainder of the term.
b. Any officer may be removed for cause by a two-thirds (2,/3) majority vote of the board of directors of this organization.
Section 5
The term of office for each officer shall commence upon installation at the annual meeting and shall end at the election and installation of his/her successor.
Section 6
The officiers or director shall receive any compensation for services in performance of the duties of his/her office, except reimbursement for duly approved administrative expenses.
Section 7
No officer or director may serve more than two (2) consecutive terms in office.

Article IV

The president shall have general supervisory powers over matters concerning this organization. He/she shall be an ex-officic member of all committees. He/she shall preside at the annual meeting of the organization and at any meeting of the board of directors as shall be convened.
